LETTERS PATENT OF CONTINUANCE

ASSUMPTION REINSURANCE TRANSACTION
Notice is hereby given that, in accordance with the provisions of subsection 254(2.01) of the Insurance Companies Act (Canada), The Manufacturers Life Insurance Company (“Manufacturers Life”) intends to make an application on or about July 6, 2010, to the Superintendent of Financial Institutions (Canada) to approve the reinsurance on an assumption basis of all of the risks undertaken under the policies of the Philippines Branch of Manufacturers Life to its wholly owned subsidiary The Manufacturers Life Insurance Co. (Phils.), Inc., including all present and future obligations under such risks.
