ASSUMPTION REINSURANCE AGREEMENT
Notice is hereby given pursuant to section 254 of the Insurance Companies Act (Canada) that The Canada Life Assurance Company ("Canada Life") and CNA Life Insurance Company of Canada ("CNA LOC") intend to make application to the Minister of Finance on or after October 14, 2002, in accordance with the provisions of the Insurance Companies Act (Canada) for the Minister's approval to enter into an assumption reinsurance agreement between them in respect of a proposed transaction whereby Canada Life will acquire all of the insurance policies of CNA LOC.
A copy of the assumption reinsurance agreement and the report of the independent actuary thereon will be available for inspection by the shareholders, policyholders and members of Canada Life and CNA LOC during regular business hours at the head office of Canada Life at 330 University Avenue, Toronto, Ontario M5G 1R8, and at the head office of CNA LOC at 40 Weber Street E, 7th Floor, Kitchener, Ontario N2H 6R3, for a period of 30 days following publication of this notice.
Any shareholder or policyholder who wishes to obtain a copy of the assumption reinsurance agreement and the independent actuary's report may do so in writing to the Secretary, The Canada Life Assurance Company, 330 University Avenue, Toronto, Ontario M5G 1R8, or to the President, CNA Life Insurance Company of Canada, 40 Weber Street E, 7th Floor, Kitchener, Ontario N2H 6R3.
