ASSUMPTION REINSURANCE AGREEMENT

REDUCTION OF STATED CAPITAL

And whereas the sole shareholder has no reasonable grounds to believe that the Corporation is, or such reduction would cause the Corporation to be, in contravention of any regulation referred to in subsection 473(1) or (2) of the Act or any direction made pursuant to subsection 473(3).
Resolved that:
1. Subject to the receipt of the written approval of the Superintendent under subsection 78(4) of the Act, the stated capital of the Corporation's common shares is hereby reduced by $100,000,000.00, by deducting the amount from the stated capital account maintained by the Corporation for its common shares;
2. An amount equal to the reduction in stated capital referred to in paragraph 1 hereof be distributed in cash on or before October 31, 2002, to the shareholder of record as of the date hereof;
3. Any director or officer of the Corporation is hereby authorized and directed to do all such things and execute and deliver all such documents and instruments as such person may consider necessary or desirable to carry out the foregoing, including, without limitation, the publication of a notice of intention to reduce the stated capital in the Canada Gazette and the making of an application for the approval of the Superintendent under section 78 of the Act."
