ASSUMPTION REINSURANCE AGREEMENT

Notice is hereby given pursuant to section 254 of the Insurance Companies Act (Canada) that The Canada Life Assurance Company ("Canada Life") and CNA Life Insurance Company of Canada ("CNA LOC") intend to make application to the Minister of Finance on or after October 14, 2002, in accordance with the provisions of the Insurance Companies Act (Canada) for the Minister's approval to enter into an assumption reinsurance agreement between them in respect of a proposed transaction whereby Canada Life will acquire all of the insurance policies of CNA LOC.

(a) A Memorandum of Security Agreement dated as of August 16, 2002 (the "Memorandum"), between Trinity Rail Leasing Trust II (the "Borrower") and Credit Suisse First Boston, New York Branch, as Agent for the Secured Parties (as defined in the Security Agreement, as defined below). The Memorandum describes the Security Agreement between the Borrower and the Agent dated as of June 27, 2002, including all present and future Exhibits thereto (such security agreement, as it may be amended or modified from time to time, the "Security Agreement") relating to all assets of the Borrower, including, without limitation, the railroad equipment described in Exhibit A to the Memorandum, and certain leases relating to such railroad equipment described in Exhibit B to the Memorandum, whether then owned or thereafter arising or acquired; and

(b) A Bill of Sale and Assignment and Assumption Agreement dated as of August 16, 2002 (the "Bill of Sale"), pursuant to which Trinity Industries Leasing Company ("TILC"), for good and valuable consideration given by Trinity Rail Leasing Trust II (the "Company" in such Bill of Sale): (i) granted, bargained, sold, transferred, assigned and set over unto the Company and its successors and assigns all right, title, and interest of TILC, in and to (x) certain railcars described in Exhibit A to the Bill of Sale and (y) any leases related thereto as described in Exhibit B to the Bill of Sale; and (ii) assigned all of its right, title and interest in and to all warranties or representations made or given to TILC with respect to the railcars by the manufacturer thereof; and

2. On August 19, 2002, the following documents were deposited in the Office of the Registrar General of Canada:

(a) A Partial Release of Trust Indenture, dated as of August 16, 2002 ("Partial Release A"), pursuant to which The Bank of New York (the "Trustee") released and discharged its security interest in (x) certain Equipment described in Exhibit A to such Partial Release A and (y) certain Leases described in Exhibit B to such Partial Release A. The security interest released and discharged by the Trustee was part of a pool of security granted by Trinity Industries Leasing Company and Trinity Industries, Inc., as guarantor, in [A] Trust Indenture and Security Agreement, dated as of February 15, 2002, and [A] Trust Indenture Supplement No. 1, dated as of February 15, 2002, and recorded with the Registrar General of Canada on February 15, 2002; and

(b) A Partial Release of Trust Indenture, dated as of August 16, 2002 ("Partial Release B"), pursuant to which The Bank of New York (the "Trustee") released and discharged its security interest in (x) certain Equipment described in Exhibit A to such Partial Release B and (y) certain Leases described in Exhibit B to such Partial Release B.
