Notice is hereby given that, in accordance with the provisions of the Insurance Companies Act (Canada), the Canadian branch of Zurich Insurance Company ("Zurich") and the Canadian branch of Maryland Casualty Company ("Maryland") intend to make an application to the Minister of Finance, after a 30-day period from the date of publication of this notice, for approval of the transfer to Zurich from Maryland of all policies issued by Maryland and all present and future obligations under such policies as of 12:01 a.m., October 1, 2001.

The proposed transfer and assumption agreement will be available for inspection by holders of policies and claimants thereunder at the head office of Maryland and the Canadian chief agency of Zurich, both being located at 400 University Avenue, Suite 2500, Toronto, Ontario M5G 1S7, during regular business hours, for a 30-day period after the date of publication of this notice.

TRANSFER AND ASSUMPTION AGREEMENT

Notice is hereby given that, in accordance with the provisions of the Insurance Companies Act (Canada), the Canadian branch of Zurich Insurance Company ("Zurich") and Peopleplus Insurance Company ("Peopleplus") intend to make an application to the Minister of Finance, after a 30-day period from the date of publication of this notice, for approval of the transfer to Zurich from Peopleplus of all commercial lines policies and personal lines policies issued by Peopleplus other than the group-marketed personal lines policies issued by the Peopleplus division of Peopleplus after January 1, 1996 (the "Policies"), and all present and future obligations under such Policies as of 12:01 a.m., October 1, 2001.

The proposed transfer and assumption agreement will be available for inspection by holders of Policies and claimants thereunder at the head office of Peopleplus and the Canadian chief agency of Zurich, both being located at 400 University Avenue, Suite 2500, Toronto, Ontario M5G 1S7, during regular business hours, for a 30-day period after the date of publication of this notice.
