TRANSFER OF GROUP POLICIES

Notice is hereby given that The Canada Life Assurance Company ("Canada Life") intends to make an application to the Minister of Finance of Canada on or after October 29, 2001, for approval pursuant to section 254 of the Insurance Companies Act (Canada) of the proposed transfer by Canada Life to Canada Life Insurance Company of Puerto Rico, Inc. ("Canada Life PR"), an indirectly held, wholly-owned subsidiary of Canada Life, of all of the group insurance policies issued or otherwise insured through Canada Life's branch operations in Puerto Rico and the United States Virgin Islands. Canada Life will also transfer to Canada Life PR all of the assets and liabilities of its branch operations in respect of these policies. The proposed transaction will be completed pursuant to an assumption Reinsurance Agreement which must be approved by Canada Life's U.S. regulator, the Michigan Insurance Department.

Copies of the proposed Reinsurance Agreement and the report of an independent actuary with respect to the proposed transaction will be available for inspection by policyholders of Canada Life during regular business hours at its head office at 330 University Avenue, Toronto, Ontario M5G 1R8.
