CREDIT SUISSE FIRST BOSTON CANADA

REDUCTION OF STATED CAPITAL

Notice is hereby given of the intention of Credit Suisse First Boston Canada (the "Bank") to apply to the Superintendent of Financial Institutions (Canada) [the "Superintendent"], in accordance with section 75 of the Bank Act (Canada), for the approval of the Superintendent of a reduction in the stated capital of the Bank as contemplated by a special resolution adopted by the sole shareholder of the Bank, dated September 7, 2001, and which reads as follows:

"Be it resolved as a special resolution that:

1. Immediately following the transfer by Credit Suisse First Boston Canada (the "Bank") of substantially all of the assets of the Bank to Credit Suisse First Boston ("CSFB") Toronto Branch, the amount of the stated capital account maintained for the common shares of the Bank shall be reduced to the minimum amount required under the Bank Act (Canada) [the "Act"].

2. The return of capital shall be paid and satisfied by the Bank paying the amount of the capital reduction in cash to CSFB or in cash and/or such other consideration as may be agreed to by CSFB and the Bank.

3. Any two officers of the Bank are hereby authorized and directed for and on behalf of the Bank to execute and deliver any and all notices or other documents and to do and perform and cause to be done and performed all such acts and things as may be necessary or desirable to give effect to this special resolution."
