Notice is hereby given that Credit Lyonnais Canada will make an application to the Superintendent of Financial Institutions of Canada to reduce the stated capital of Credit Lyonnais Canada, in accordance with the special resolution of its sole shareholder passed as of November 24, 2000. THE SOLE SHAREHOLDER
"Whereas the stated capital of Credit Lyonnais Canada (the "Bank") as at October 31, 2000 is $132,500,000 and is represented by 13,250,000 outstanding common shares;
Whereas due to the downsizing of the activities of the Bank, its balance sheet has significantly decreased since December 31, 1998 and that, as at October 31, 2000, its assets, its liabilities and its shareholders' equity amounted respectively to $210,137,000, $88,902,000 and $121,235,000;
Whereas as at October 31, 2000, the assets of the Bank, weighted in accordance with the capital adequacy requirements of the Office of the Superintendent of Financial Institutions ("OSFI"), amounted to $200,233,000;
Whereas the capital of the Bank calculated in accordance with the same requirements amounted to $158,109,000 as at October 31, 2000, of which $121,235,000 was represented by first tier capital elements and $36,874,000 was represented by second tier capital elements;
Whereas the balance sheet and the current and future activities of the Bank no longer require so great an amount of capital;
Whereas it is appropriate to reduce the stated capital of the Bank by $75,000,000;
Whereas after such reduction, the stated capital and the regulatory capital of the Bank will remain sufficient for its activities and will continue to comply with the requirements of the Bank Act and OSFI's Guidelines.
Therefore, it is resolved that:
1. The stated capital of the Bank be reduced by $75,000,000 and accordingly that such amount be deducted from the common shares account so that this account be in the amount of $57,500,000 after the reduction;
2. The number of outstanding common shares of the Bank be reduced in the same proportion so that said number be 5,750,000 after the reduction;
3. The reduction of capital be effective upon its approval by the Superintendent of Financial Institutions of Canada (the "Superintendent");
4. The amount of the reduction be paid over to the sole shareholder of the Bank, once the reduction shall have been approved by the Superintendent;
5. The president and chief executive officer of the Bank be authorized to do all things and sign all documents required or useful to give effect to this resolution, including to make an application to the Superintendent for approval of the reduction of capital in accordance with section 75 of the Bank Act."
