TRANSFER AND ASSUMPTION AGREEMENT
Notice is hereby given, pursuant to subsection 254(3) of the Insurance Companies Act, that Clarica Life Insurance Company ("Clarica") and Metropolitan Life Insurance Company ("MetLife") intend to make an application to the Minister of Finance, on or after December 5, 2000, for approval for Clarica to transfer, and MetLife to assume, certain group annuity contracts and group life, accident and health insurance policies which were previously assumed by Clarica, formerly The Mutual Life Assurance Company of Canada, from MetLife.
