RELEASE OF ASSETS

Notice is hereby given, in accordance with sections 651 and 652 of the Insurance Companies Act, that The Baloise Insurance Company Limited, which will cease to carry on business in Canada following the transfer to Rhine Reinsurance Company Limited, effective September 30, 1998, of all of the assets and liabilities relating to its reinsurance business in Canada, intends to apply to the Office of the Superintendent of Financial Institutions on or after December 19, 1998, for release of the company's assets vested in trust in Canada on or after December 19, 1998. In connection with the transfer and assumption transaction, The Baloise Insurance Company Limited will provide for the discharge of all of its obligations and liabilities in Canada, including its liabilities under all reinsurance contracts in Canada.

Any party to a reinsurance contract with the company who opposes such release of assets must file notice of such opposition with the Office of the Superintendent of Financial Institutions, Property and Casualty Insurance Division, 255 Albert Street, 14th Floor, Ottawa, Ontario K1A 0H2, on or before December 19, 1998.

INDEMNITY REINSURANCE AGREEMENT

Notice is hereby given that, in accordance with the provisions of section 254 of the Insurance Companies Act, S.C., 1991, c. 47, as amended, application will be made to the Minister of Finance, following the expiration of not less than 15 days after the date of publication of this notice in the Canada Gazette, Part I, to approve a transaction which is the subject of an indemnity reinsurance agreement between The Great-West Life Assurance Company, having its head office at 100 Osborne Street N, Winnipeg, Manitoba R3C 3A5, and Great-West Life & Annuity Insurance Company, having its head office at 8515 East Orchard Road, Englewood, Colorado 80111, United States of America. Under the indemnity reinsurance agreement, certain United States non-participating corporate-owned life insurance policies of The Great-West Life Assurance Company will be reinsured by coinsurance with Great-West Life & Annuity Insurance Company. The agreement will be effective December 31, 1998.

For a period of 15 days after the date of publication of this notice, a copy of the indemnity reinsurance agreement and the full report of the independent actuary will be available for inspection during regular business hours at the head offices of the companies.

For a period of 15 days after the date of publication of this notice, any shareholder or policyholder who wishes to obtain additional information may request a copy of the reinsurance agreement or the independent actuarial report by writing to the head offices of the companies.
