REDUCTION OF STATED CAPITAL

SPECIAL RESOLUTION OF THE SOLE SHAREHOLDER
Whereas the stated capital account of the Corporation is currently $20,264,000.00; and
Whereas it is expedient and in the best interest of the Corporation to reduce the stated capital account by an amount of $14,000,000, and the said amount be distributed to the sole Shareholder of the Corporation, all in accordance with section 79 of the Insurance Companies Act.
After discussion, it was moved, seconded and unanimously resolved that the stated capital account maintained for the common shares of the Corporation be and the same is hereby reduced by an amount of $14,000,000, which is to be paid out of the stated capital account to the sole shareholder of the Corporation, Hansa Holdings Inc., and thereby reducing the stated capital account to an amount of $6,264,000, and, further, that the Board of Directors of the Corporation be and they are hereby authorized to make an application to the Office of the Superintendent of Financial Institution in accordance with section 79 of the Insurance Companies Act seeking the written approval of the Superintendent of Financial Institutions to reduce the stated capital account of the Corporation and furthermore that this Resolution shall not come into effect nor be acted upon until such time as the same has been approved in writing by the Superintendent of Financial Institutions in accordance with subsection 79(4) of the Insurance Companies Act.
